Terms of Use for solderhaus.pro

These Terms of Use ("Terms") are a legal agreement between you and an individual doing business as “Solderhaus.pro" (“Solderhaus.pro," "we," "us"). They apply to solderhaus.pro, our social accounts, releases, events, and every other part of the Solderhaus.pro universe (together, the "Universe"). By visiting or using the Universe, you accept these Terms. If you do not accept them, leave the site.
1. Plain-Language Summary
This summary is for convenience. The full Terms below control.
Solderhaus.pro is a fictional universe. Characters, personas, and storylines are creative works.
We own the Universe. You may enjoy it. You may not copy, sell, or pass it off as yours.
DJs can apply for free .wav files through a Google Form. Approved DJs get a limited license for sets only.
Be respectful. Do not impersonate our personas or the people who portray them.
The site is provided as is. Our liability to you is limited.
2. Who May Use the Universe
You must be at least 13 to browse the site. You must be at least 18 to apply for the DJ Program or enter any contract with us. If you are under the age of majority where you live, a parent or guardian must agree to these Terms for you.
3. The Universe Is Fiction
3.1 Fictional works. Personas, characters, names, storylines, worlds, and events in the Universe are creative works. Any resemblance to real persons, living or dead, outside the performers' credited roles, is coincidental.
3.2 Performers. Personas may be portrayed by one or more performers. Performers can change over time. We may replace, add, or retire performers without notice. No performer owns or controls a persona, and we make no promise that any performer will stay attached to it.
3.3 Entertainment only. Content in the Universe is for entertainment. Nothing in it is professional, legal, medical, or financial advice.
4. Ownership and Intellectual Property
4.1 What we own. Solderhaus.pro owns or controls all rights in the Universe. That includes personas, characters, names, logos, trademarks, visual identity, backstory, lore, world-building, music, stems, recordings, videos, artwork, designs, website code, text, and all other materials ("Universe IP"), whether created before or after these Terms.
4.2 Trademarks. “Solderhaus.pro," persona names, and related logos and marks are our trademarks or pending marks. You may not use them, or anything confusingly similar, in a business name, product, domain, social handle, or release without our written permission.
4.3 Limited license to visitors. We give you a limited, personal, non-commercial, revocable license to view and stream the Universe for your own enjoyment. We reserve all other rights.
4.4 What you may not do. Without written permission, you may not copy, scrape, modify, adapt, distribute, publicly display, sell, license, or create commercial works from Universe IP. You may not use Universe IP to train or fine-tune any AI or machine learning model, or to generate new characters, voices, or music that imitate the Universe.
4.5 No implied rights. Visiting, buying, or contributing to the Universe does not give you ownership, co-ownership, royalties, or any other right in Universe IP, except what a signed agreement with us says.
5. Fan Content
5.1 Allowed. Non-commercial fan art, reactions, reviews, commentary, and social posts about the Universe are welcome. Credit Solderhaus.pro and link to solderhaus.pro website where practical.
5.2 Not allowed. Do not sell fan content. Do not present fan content as official. Do not create content that is sexually explicit, hateful, harassing, or that depicts real people in a false or harmful way using our personas.
5.3 Your license to us. If you send us or tag us in content, you keep ownership of it. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to display, share, reproduce, and promote it in connection with the Universe. You confirm you have the right to give this license. We may remove content at any time.
5.4 Ideas. If you send ideas, storylines, lyrics, or character suggestions, you agree we may use them freely and without payment or credit. You waive any claim to them, to the extent the law allows. Do not send ideas you expect payment for.
6. Conduct
When you use the Universe, you agree not to:
impersonate Solderhaus.pro, a persona, a performer, or any staff;
claim to be a performer or to speak for a persona;
harass, threaten, dox, or abuse performers, staff, or other fans;
post unlawful, infringing, defamatory, or deceptive material;
scrape, probe, overload, or break the site, or bypass access controls;
upload malware or run automated tools against the site;
use the Universe to commit fraud or phishing, or to promote unrelated products;
claim, register, or use persona names, domains, or handles.
We may block, remove, or report violators.
7. DJ Verification Program
7.1 Purpose. Verified DJs may receive free .wav files ("Program Files") for use in their sets. Apply using the DJ Verification Form, which runs on Google Forms.
7.2 Approval. We approve or deny applications at our discretion and do not have to give a reason. Approval is not a promise of ongoing or unlimited access. We may limit quantity, change the catalog, or end the Program.
7.3 Truthful information. You must give true and complete information and proof. We may ask for more at any time.
7.4 License. If approved, we give you a limited, non-exclusive, non-transferable, revocable license to play Program Files in live DJ performances and in recorded or streamed sets of those performances. Credit “Solderhaus.pro" in the tracklist or description where practical.
7.5 Restrictions. You may not sell, share, upload, redistribute, or sublicense Program Files; sample, remix, edit, or release them as new works; register them or sets containing them with Content ID or similar systems; or use them to train any AI or machine learning system.
7.6 Access links. We deliver Program Files through Google Drive links. Links are personal to you. Do not share them or open access to others. We may restrict, change, or remove links and files at any time, and we may review Drive access records.
7.7 Revocation. We may revoke verification and your license for false information, breach of these Terms, or misuse. On revocation, stop using Program Files in new sets and delete your copies, except to finish already-booked shows within [14] days.
7.8 No employment. Verification does not make you an employee, agent, or representative of Solderhaus.pro. You may not say you are endorsed by us beyond the statement "Verified DJ." We may revoke that statement.
8. No Store or Paid Products
We do not currently sell products or take payments through the Universe. If we add a store or paid products, we will post separate terms before any sale. Nothing on the site is an offer to sell.
9. Third-Party Links and Services
The Universe is built with Google Sites, Google Forms, and Google Drive, and may link to or embed streaming services, social platforms, and other sites. Google and these services have their own terms and policies. We do not control them and are not responsible for their content or policies. Your use of them is at your own risk and under their terms.
10. Privacy and Cookies
We collect information you give us, such as your DJ Verification Form answers, emails, and messages. Google may also collect data when you use Sites, Forms, and Drive. We use data to run the Universe, verify DJs, deliver files, prevent abuse, and communicate with you. We do not sell your personal information. Our Privacy Policy at https://www.solderhaus.pro/privacy-policy explains more and is part of these Terms.
11. Copyright and Takedown Notices
If you believe material in the Universe infringes your copyright, send a notice to nikkivshoots@gmail.com that includes: the work you claim is infringed; the location of the material; your contact details; a statement that you have a good-faith belief the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorized to act for the owner; and your signature. We may end access for repeat infringers.
12. Disclaimers
THE UNIVERSE, PROGRAM FILES, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT FILES WILL BE COMPATIBLE WITH YOUR EQUIPMENT. BACK UP YOUR FILES. WE ARE NOT RESPONSIBLE FOR USER CONTENT OR THIRD-PARTY CONDUCT.
13. Limitation of Liability
TO THE FULLEST EXTENT THE LAW ALLOWS, SOLDERHAUS.PRO AND ITS OWNERS, OFFICERS, CONTRACTORS, PERFORMERS, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, BOOKINGS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE UNIVERSE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF [US$100] OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. SOME PLACES DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend and indemnify Solderhaus.pro, its owners, officers, contractors, and performers against claims, losses, damages, and costs (including reasonable legal fees) arising from your breach of these Terms, your content, false information you give us, or your misuse of Universe IP or Program Files.
15. Termination
We may suspend or end your access at any time, with or without notice. You may stop using the Universe at any time. Sections 3, 4, 5.3, 5.4, 7.5, 7.7, 12, 13, 14, 16, and 17 survive termination.
16. Governing Law and Disputes
These Terms are governed by the laws of Oklahoma, without regard to conflict-of-law rules. You and Solderhaus.pro agree that disputes will be brought in the courts located in [Tulsa, Oklahoma, and you consent to that venue. Before filing, you agree to contact us at nikkivisdead@gmail.com and try in good faith to resolve the dispute for 30 days.
17. General
These Terms, with the Privacy Policy and any signed agreement with you, are the entire agreement on this subject. If any part is unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver. You may not assign these Terms. We may. We may update these Terms by posting a new date. Continued use means you accept the update. Notices to us go to the contact below.
